Iron Spector — Terms of Service

1. Acceptance of Terms

These Terms of Service are entered into between you and Iron Spector Solutions Inc. (referred to throughout as "Iron Spector," "we," "us," or "our"). By accessing or using Iron Spector, you agree to be bound by these Terms of Service. If you do not agree, you may not use the platform.

Iron Spector is intended primarily for commercial and professional use. Individual users acknowledge that reports are not consumer product warranties, certifications, or guarantees.

The platform is intended primarily for commercial and professional use. If the platform is used outside a business context, certain consumer protection laws may apply, and some limitations in these Terms may not apply to the extent prohibited by applicable law.

2. Description of Service

Iron Spector is a technology platform that provides AI-assisted equipment inspection workflows and market-based valuation insights based on user-provided information.

Iron Spector does not perform physical inspections, certified appraisals, engineering assessments, mechanical diagnostics, safety evaluations, or regulatory compliance reviews.

2A. No Agency or Fiduciary Relationship

Iron Spector does not act as an agent, broker, intermediary, fiduciary, lender, insurer, or advisor in connection with any transaction between users or third parties. Use of the platform does not create any partnership, joint venture, agency, or fiduciary relationship.

3. User Responsibilities

You are responsible for:

  • The accuracy and completeness of all information, images, videos, and statements you provide
  • Performing inspections truthfully and to the best of your knowledge
  • Ensuring use of the platform complies with applicable laws, site rules, and workplace safety requirements

Iron Spector relies entirely on user-provided inputs and does not independently verify inspection data.

4. Inspection Reports

Inspection reports:

  • Are based solely on visual observations and user input
  • Do not include disassembly, testing, or verification unless explicitly stated
  • Reflect conditions only at the time of inspection
  • May not identify latent, hidden, intermittent, or future defects

Where inspections are captured offline, timestamps may reflect time of capture and time of upload separately. Iron Spector does not guarantee continuous connectivity or immediate data synchronization.

Reports are informational only and should not replace professional inspections, certifications, or assessments.

5. Valuation Insights

Any valuation information provided:

  • Is indicative only and non-binding
  • Represents estimated market context, not guaranteed or appraised value
  • Is based on available data at the time of report generation
  • May change due to market conditions, condition, location, or transaction structure

Iron Spector does not provide certified appraisals, financial advice, lending recommendations, or insurance opinions.

Valuation outputs must not be used as the sole basis for secured lending decisions, collateral valuation, insurance underwriting, audited financial reporting, regulatory filings, tax reporting, or legal proceedings. Users are responsible for ensuring any third party receiving a report understands these limitations.

Currency and Foreign Exchange. Valuation insights may reference market data or comparables denominated in different currencies. Where currency conversion is applied, exchange rates are indicative only and reflect rates available at the time of report generation. Iron Spector does not guarantee the accuracy, timing, or applicability of any foreign exchange rate and is not responsible for currency fluctuations occurring before or after any transaction.

6. AI Use, Fraud, and Misuse

Iron Spector uses artificial intelligence and automation to assist with organizing, summarizing, and contextualizing user-provided inspection information.

AI-generated outputs may vary even when similar inputs are provided. Artificial intelligence systems may produce incomplete, inaccurate, inconsistent, or non-deterministic outputs. No human validation or review of AI outputs is guaranteed unless explicitly stated. Users are responsible for independently verifying outputs prior to reliance.

You agree not to:

  • Submit false, misleading, manipulated, or reused inspection media
  • Misrepresent the condition, ownership, or existence of equipment
  • Use Iron Spector reports to deceive, defraud, or mislead third parties
  • Attempt to manipulate, misuse, or misrepresent AI-generated outputs

Iron Spector does not independently verify inspection inputs. Users remain fully responsible for the accuracy, integrity, and lawful use of all inspection content and reports.

Iron Spector reserves the right to suspend or terminate access where misuse, fraud, or abuse is suspected.

7. Jobsite Safety and Mobile Device Use

Iron Spector must only be used when it is safe to do so.

You are solely responsible for:

  • Maintaining awareness of your surroundings
  • Complying with all jobsite safety rules, site requirements, and applicable laws
  • Ensuring mobile device use does not interfere with safe operation of equipment or jobsite activities

Do not use Iron Spector while operating machinery, vehicles, or in any situation where device use may pose a safety risk.

Iron Spector is not responsible for injuries, accidents, or damages arising from use of the platform in hazardous environments.

8. Device and Platform Responsibility

You are responsible for ensuring your device is suitable for use of Iron Spector, including battery life, camera functionality, operating system compatibility, and network connectivity.

Iron Spector is not responsible for:

  • Damage to devices
  • Data loss on personal devices
  • Interruptions caused by hardware, operating systems, software updates, or connectivity issues

The platform is provided on an "as-is" and "as-available" basis.

Iron Spector relies on third-party service providers for hosting, data storage, analytics, artificial intelligence processing, communications, and other operational infrastructure. Iron Spector is not responsible for outages, delays, errors, or security incidents attributable to third-party providers beyond its reasonable control.

8A. Third-Party Data Providers

Iron Spector may integrate with one or more licensed third-party data providers to supplement platform functionality. Such integrations may provide access to equipment specifications, serial number records, historical market data, valuation reference data, or other commercial equipment intelligence. Where such integrations are active:

  • Data returned by third-party providers is provided under separate licensing agreements and is subject to those providers' terms, accuracy limitations, and data coverage constraints
  • Iron Spector does not warrant the completeness, currency, or accuracy of third-party data and is not responsible for errors, omissions, or gaps in such data
  • Third-party data displayed within Iron Spector reports or interfaces must not be extracted, redistributed, resold, or used outside the platform in any manner that would violate the applicable data provider's licensing terms
  • Access to third-party data features may depend on the user's subscription tier, geographic region, or equipment category coverage available under the applicable data license

Iron Spector reserves the right to modify, suspend, or discontinue third-party data integrations at any time, including where required by changes to a data provider's licensing terms or availability. Such changes do not give rise to any claim or refund entitlement unless otherwise agreed in writing.

9. Inspector Attribution

Inspection reports may display the identity, role, or organization of the individual who completed the inspection.

Iron Spector is a platform provider only and is not the author of inspection content unless explicitly stated.

10. Data Ownership and Use

You retain ownership of the content you submit.

By using Iron Spector, you grant Iron Spector a non-exclusive, royalty-free license to:

  • Store, process, and display submitted content
  • Generate reports and insights
  • Use anonymized and aggregated data for analytics, product improvement, and market insights

Iron Spector will not sell identifiable inspection data without consent.

11. No Reliance and Third-Party Use

Decisions to buy, sell, finance, insure, or transact equipment are made at your own discretion.

Reports generated through Iron Spector are intended solely for the use of the user who created them. Any third party who receives or views a report does so at their own risk and may not rely on it for any purpose.

12. Limitation of Liability

To the maximum extent permitted by law:

  • Iron Spector shall not be liable for indirect, incidental, or consequential damages
  • Total liability shall not exceed the fees paid for use of the platform in the preceding twelve (12) months

13. Indemnification

You agree to indemnify and hold harmless Iron Spector from claims arising from:

  • Your use of the platform
  • Your inspection content
  • Third-party reliance on reports you generate

14. Termination

Iron Spector may suspend or terminate access for misuse, violation of these Terms, or operational reasons.

15. Governing Law (Canada)

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, unless otherwise required by applicable law.

Iron Spector — US Addendum

Applicable to US Users Only

This US Addendum applies to users accessing Iron Spector from the United States.

  • Iron Spector provides informational technology services only and does not act as an appraiser, inspector, engineer, lender, or insurer.
  • Valuation insights are estimates only and not certified appraisals under US federal or state law.
  • Users acknowledge Iron Spector does not provide consumer warranties or guarantees.

To the extent permitted by law, Iron Spector's total liability to US users remains limited as set out in Section 12 of the Terms of Service.

If required by applicable US law, governing law may default to the laws of the state in which the user resides, excluding conflict-of-law principles.
